Conversion of bearer shares

Bearer shares prohibited since May 1, 2021

Following the implementation of the Financial Action Task Force (FATF) recommendations by Switzerland, you had until April 30, 2021 to comply with the law by converting your bearer shares into registered shares.

If you have not converted your shares to bearer shares by May 1, 2021, you may lose your dividend and voting rights.

It is therefore essential that you take the necessary steps now to comply with the law by converting your bearer shares into registered shares.

Steps to take as a shareholder now

If you have not registered as a shareholder by May 1, 2021, you must register as a shareholder in the register of shareholders of the stock corporation (AG). 3 steps are necessary to achieve this:

file a motion with the appropriate court
obtain the agreement of the company
provide proof of your shareholder status

It is also necessary to take all necessary steps to amend the articles of association in order to change the bearer shares into registered shares.
